धारा 27 भारतीय संविदा अधिनियम — व्यापार का अवरोधक करार शून्य है —
हर करार जिसमें कोई व्यक्ति किसी प्रकार की विधिपूर्ण वृत्ति, व्यापार या कारबार करने से अवरुद्ध किया जाता है, उस विस्तार तक शून्य है।
अपवाद — जिस कारबार की गुडविल बेच दी गई है उस कारबार को न चलाने के करार की व्यावृत्ति — वह व्यक्ति जो किसी कारबार की गुडविल का विक्रय करे, क्रेता से यह करार कर सकेगा कि वह विनिर्दिष्ट स्थानीय सीमाओं के अन्दर तब तक तत्सदृश कारबार चलाने से विरत रहेगा जब तक क्रेता या कोई ऐसा व्यक्ति, जिसे उससे गुडविल का हक व्युत्पन्न हुआ हो, उन सीमाओं में तत्सदृश कारबार चलाता रहे; परन्तु यह तब जबकि उस कारबार की प्रकृति की दृष्टि से ऐसी सीमाएँ न्यायालय को युक्तियुक्त प्रतीत हों।
Section 27 Indian Contract Act — Agreement in restraint of trade, void –
Every agreement by which any one is restrained from exercising a lawful profession, trade or business of any kind, is to that extent void.
Exception — Saving of agreement not to carry on business of which goodwill is sold – One who sells the goodwill of a business may agree with the buyer to refrain from carrying on a similar business, within specified local limits, so long as the buyer, or any person deriving title to the goodwill from him, carries on a like business therein, provided that such limits appear to the Court reasonable, regard being had to the nature of the business.
